Prepare, then hand over
Business exit planning. Put the preparation into practice.
A separate engagement after the Review, for owners ready to sell in the next six to twelve months. We work through the fixes, organise the evidence and build the data room and disclosure schedule. The work ends at hand-over to your licensed broker.
Typically two to six months, scoped before we start, with a quoted total. The Review is paid separately; an eligible NZD 3,000 credit reduces the programme total.

Scope
Preparation across the business.
The Review sets the priorities. We agree the work, scoped months, monthly rate and quoted total in Schedule 1, the programme proposal, before starting.
Your accountant, your lawyer and your broker stay yours. The professional work on the fix list goes to them.
Personal retirement planning, family succession structures and tax advice need their own scope with the appropriate advisers.
- Conditions of sale
Track the conditions from the Review, brief the right adviser and record what must be cleared before listing.
- Financials
Three years' accounts, current reporting, proposed adjustments and working capital, with your accountant.
- People and owner dependence
Responsibilities, role cover, employment records and a practical hand-over of the work that depends on you.
- Customers, suppliers and premises
Concentration, written terms, renewals and change-of-owner questions for your advisers.
- Systems and compliance
Operating processes, software, licences and consents, with responsibilities and evidence recorded.
- Data room and disclosure schedule
An organised document set and a clear record of what cannot be fixed in time, for you to approve.
Phases
Clean up, build, hand over.
- First half · clean-up
Conditions of sale first, then the earnings, contracts, responsibilities and your diary. Work to the target listing date, with a fortnightly owner check-in and a weekly fix-list check-in.
- Second half · build
Complete the data room, operating records, lease and customer terms. Items that cannot be fixed in time go into the disclosure schedule. Check the evidence as the work progresses.
- Final month · broker briefing
I shortlist two licensed brokers, at least one of them outside any referral arrangement I have; you choose and appoint one. I write the briefing pack and hand over.
The broker receives a complete data room, a disclosure schedule and the facts they need to write their information memorandum.
We have informal referral arrangements with some brokers. No money passes either way, and we tell you which brokers they are when we shortlist.
- Hand-over · the engagement ends
The broker markets the business, handles buyer enquiries and negotiates. Rodara takes no part in the sale and provides no listing-to-settlement service.
Fees
A scoped programme. A quoted total.
NZD 6,000 a month standard; NZD 8,000 a month for a larger business or group. Larger means a likely sale value above NZD 3 million. Group means two or more trading businesses sold together.
The quoted total is the scoped months multiplied by the monthly rate, excluding GST. Longer or more complex work is quoted for its actual scope. Your advisers and implementation costs are separate.
| Example | Quoted total |
|---|---|
| Focused preparation · 2–3 months at the standard rate | 12,000–18,000 |
| Full preparation · 4–6 months at the standard rate | 24,000–36,000 |
| Larger or group · illustrative four months at 8,000 | 32,000 |
If you sign an Exit Programme agreement within 30 days after the date we deliver the written Review report, NZD 3,000 of the Review fee (whether paid at 6,000 or 5,500) is credited against the first programme invoice and reduces the quoted total by NZD 3,000.
For example, a three-month standard programme is quoted at NZD 18,000. With the eligible credit, programme invoices total NZD 15,000. Including the separately paid Review, combined fees are NZD 21,000, or NZD 20,500 if introduced, all excluding GST.
If your timetable changes
Owner-controlled delay beyond the scoped term can incur NZD 4,000 plus GST a month outside the quoted total. Third-party delay does not attract that owner-delay charge; any extension at the standard rate is agreed in writing. The terms below explain this exception.
Payment, notice and hand-over terms
Invoices and the minimum term
The first month is invoiced on signing and payable before work starts. Each later month is invoiced on the 1st and payable by the 7th. Programme fees will not exceed the quoted total.
The month in which hand-over happens is payable in full and no later month is invoiced, except that the first two months are always payable.
Either party may end this agreement by one month's written notice given at any time, but notice cannot take effect before the end of the second month.
When hand-over happens
Hand-over means the meeting at which we deliver the briefing pack, the disclosure schedule and the data room to the licensed broker you have appointed. If you have not appointed a broker within one month after we confirm in writing that the pack is ready, hand-over is treated as having happened on that date.
Delays
If hand-over has not happened by the end of the scoped term for a reason within your control, this agreement continues month by month at NZD 4,000 plus GST a month, outside the quoted total, until hand-over or termination. A reason within your control means information, decisions or owner actions on the fix list not delivered by their agreed dates, or a decision to defer listing. If the delay is for a reason outside your control (for example a landlord, council or other third party), no owner-delay fee applies; we will agree in writing either to extend at the standard rate or to end the agreement.
If a buyer approaches you
If a prospective buyer approaches you, or you decide to sell without a broker, you will tell us. We will not communicate with any buyer or buyer's adviser, give any buyer access to the data room, or answer due-diligence questions, before or after hand-over. Either party may then end this agreement on seven days' written notice; fees for the current month are payable and no fee is payable by reference to any sale.
We may pause work while an invoice is overdue.
Practical next steps
See what the preparation involves.
Start with the work, then decide whether you need programme support.
- Your 6–12 month business sale preparation plan
A staged route from the first questions to a broker briefing.
- Reduce owner dependence before selling
A practical diary exercise and a way to test the hand-over.
- Preparing for the buyer's due diligence
Organising evidence and understanding which adviser checks what.
A conversation first
Every programme starts with the Review.
For some owners the Review is all they need. A twenty-minute call costs nothing and will help establish a useful next step.
